GeoSway — Terms of Use

Effective date: August 20, 2025

These Terms of Use (“Terms”) govern your access to and use of geosway.com and all related services, including software, add-ons, APIs, downloads, and subscriptions (the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

1) Accounts & Eligibility

  • You must be able to form a binding contract and comply with these Terms.
  • You may create an account or sign in using Google. You are responsible for your account credentials and all activities under your account.
  • You agree to provide accurate information and keep it updated.

2) Licenses, Subscriptions, and API Keys

  • Software license: Upon purchase or activation, GeoSway grants you a limited, non-exclusive, non-transferable, revocable license to use the applicable software/add-on solely for your internal business or personal use, in accordance with these Terms and any license details shown at checkout, in the product, or on your invoice.
  • Subscriptions: Paid subscriptions renew automatically at the interval selected (e.g., monthly/annual) until canceled. Cancelation takes effect at the end of the current term.
  • Lifetime licenses (if offered): “Lifetime” refers to the lifetime of the licensed product as commercially offered and supported by GeoSway, not your lifetime. We may modify or retire products; reasonable support/activation mechanisms may change over time.
  • API keys: You must keep keys confidential. We may monitor usage and revoke keys for suspected abuse, sharing, or violation of these Terms.
  • Marketplace distribution: Some features are activated via the Google Workspace Marketplace; your use is also subject to the marketplace’s terms and policies.

Refunds: Digital licenses and downloads may be subject to a separate Refund Policy. Where no separate refund policy is posted, all sales are final except where required by law.

3) Payments & Taxes

  • Payments are processed by third parties (e.g., Stripe, PayPal). You authorize charges to your payment method for purchases, renewals, taxes, or fees disclosed at checkout. You are responsible for any applicable taxes.

4) Acceptable Use & Prohibited Conduct

You agree not to:

  • Access or use the Services for unlawful purposes or in violation of any law.
  • Copy, scrape, spider, crawl, or use automated means to access the Services or data (including rate-limiting avoidance), except as explicitly permitted via published APIs.
  • Interfere with, disrupt, or compromise the security or integrity of the Services (including probing, scanning, or testing vulnerabilities without authorization).
  • Reverse engineer, decompile, or attempt to derive source code except to the extent such restrictions are prohibited by law.
  • Use the Services to build competing products or services or to benchmark for competitive purposes.
  • Infringe, misappropriate, or violate others’ intellectual property, privacy, or publicity rights.
  • Upload malicious code or content that is illegal, defamatory, or otherwise objectionable.

We may remove content or suspend/terminate access for violations.

5) User Content

If you submit content (e.g., support messages, reviews, uploaded data), you grant GeoSway a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, and display such content solely to operate and improve the Services. You represent you have all rights necessary to grant this license.

We reserve the right to remove any content that violates these Terms or applicable law.

6) Third-Party Services & Data

The Services may depend on third-party platforms, processors, APIs, and datasets (e.g., U.S. Census, BLS, OpenStreetMap, Google, Mailchimp, Stripe, PayPal). We are not responsible for third-party services or data, their availability, accuracy, or terms. Your use of third-party services is governed by their respective terms.

7) Data & Privacy; Roles

Our Privacy Policy explains how we handle personal information.
For any Customer Data you process using our add-ons/software (e.g., your Google Sheets data), you are the controller of that data; we act as a processor to the extent we process it on your behalf to provide requested features. You are responsible for the lawfulness of Customer Data you submit and for honoring obligations to your end users.

8) No Professional Advice; Data Accuracy

Outputs from our Services may rely on third-party data sources and computations. We do not warrant accuracy, completeness, or fitness for any purpose. The Services do not constitute legal, financial, tax, engineering, or professional advice.

9) Intellectual Property

GeoSway and its licensors retain all rights, title, and interest in and to the Services, including software, documentation, website content, logos, and trademarks. Except for the limited rights expressly granted, no rights are granted by implication or otherwise.

10) Updates, Availability, and Beta Features

We may modify, update, or discontinue features at any time. We do not guarantee uninterrupted uptime. Any beta/preview features are provided “as is,” may contain bugs, and may change or be discontinued.

11) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. YOUR USE IS AT YOUR OWN RISK.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOsWAY/GEOTISTICS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO GEOsWAY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS—YOUR RIGHTS MAY VARY.

13) Indemnification

You will defend, indemnify, and hold harmless GeoSway/Geotistics, LLC and its affiliates, officers, employees, and agents from any claim, loss, liability, and expense (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, or your violation of these Terms.

14) Termination

We may suspend or terminate access at any time for any reason, including violations of these Terms. You may stop using the Services at any time. Sections that by their nature should survive (e.g., payments, IP, disclaimers, limitations, indemnities) will survive termination.

15) Export & Sanctions

You must comply with all applicable export control and sanctions laws and may not use the Services in or for the benefit of embargoed countries or prohibited parties.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of West Virginia, without regard to conflict-of-laws rules. Venue for any disputes shall be the state or federal courts located in West Virginia, and you consent to their jurisdiction. 17) Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance.
